YOU AGREE TO ACCEPT THESE TERMS OF SERVICE WHICH WILL BE APPLICABLE TO ALL USERS FROM 12 May 2022.: “TallyPay is a digital wallet and payment service for smartphone users, provided by Progoti Systems Limited (hereinafter “PSL”, “we”, or “us”), a Bangladeshi company. would like to offer a convenient digital wallet and payment service for smartphone users using TallyPay Services (hereinafter “TallyPay”). TallyPay provides a digital wallet for each customer, merchant and/or payment partner, allowing each. Using this wallet, a customer can easily make or receive any payment using their smartphones. This provides customers with a safe and easy and secure way to make payments without the risk hassle and or risk hassle of carrying cash. This wallet can be accessed using android smartphones, IOS based phones, android smartphones and feature phones.These terms and conditions of service (“Terms”, “Agreement”) apply to your access and use of TallyPay (“PSL”)’s services (the “Service”). Your use of the Service requires that you, being at least 18 years of age, agree to these Terms. This Agreement is a contract between you and PSL, a Bangladeshi company, that governs your use of TallyPay. You must agree with the Terms of this Agreement including the Privacy Policy and other policies of TallyPay. You should read all of these terms and conditions carefully before accepting the Agreement. If at any time, you do not accept or agree with any of the Terms or do not wish to be bound by the Terms, you may not access, browse or use the TallyPay and immediately terminate your availing use the of TallyPay and refrain from accessing, browsing and/or use the Services. Accepting or agreeing to the Terms will constitute a legal contract between you TallyPay.\ Your account may be suspended, closed or your access to TallyPay Services and/or funds may be made limited if you are found to be in breach of this Agreement or any of these Terms and other policies you have agreed with PSL. You are reesponsible for understanding and complying with any and all rules, regulations and laws of the jurisdiction applicable to you in connection with your use of TallyPay Services. You must obey the Rules and Regulations of the Government of the Peoples’ Republic of Bangladesh, Bangladesh Bank and other related Regulators while using the Services provided by PSL. You agree to be accountable for any unlawful use of your TallyPay Account. If you disagree with any part of these terms and conditions, please do not continue to use and/or access the Services and/or the Site.
I. Services and Eligibility.
i. TallyPay Services: TallyPay Account holders shall be solely responsible for their account activities when using the TallyPay platform. You shall use TallyPay with integrity when making or receiving any payment through TallyPay platform. TallyPay will not be liable for your transactions.You may use TallyPay platform for buying or selling products or services which are lawful within the jurisdiction of Bangladesh. TallyPay will be held indemnified for any legal action taken against it if you perform a transaction for any unlawful product or service, and you will be solely liable for the transaction.TallyPay and its varied features may only be accessible for use in certain regions, with certain Payment Instruments or with certain merchants. Such regions, Payment Instruments, and merchants may change at any time.
ii. Age Eligibility: Individuals aged 16 years or older will be eligible for using TallyPay Services. TallyPay maintains a strict non-discrimination policy for use of TallyPay services. You hereby represent and warrant that You have provided true information about Your age and that You will not knowingly use any part of the Service which is not open for use by Customers of Your age.
iii. Identification:You must upload a copy of your valid National ID at the time of creating your TallyPay Account. You must provide accurate and updated information to PSL for creating and maintaining your TallyPay Account. You are responsible for the information that you make available to the Service, including its reliability, appropriateness and legality.
a. Contact Information: You shall be responsible for keeping your mobile number up-to-date with your TallyPay app so as to enable us to send you related electronic communications. Any information shall be considered to have been communicated to you effectively when the Service sends SMS to the mobile number given in your TallyPay profile. You must ensure that the mobile number is not incorrect, out of service or blocked by your service provider. In case of failed delivery of TallyPay communications to your device due to your mobile number being invalid, only then we may consider the account to be inactive and block/freeze any transactions until provided with a valid Mobile number.
b. Report Lost or Stolen Devices: If your eligible Mobile Device is lost or stolen, or you have reason to believe that your eligible Mobile Device has been compromised, you must contact PSL immediately with utmost urgency so that PSL can take action to disable your TallyPay Account for use within the Digital Wallet Service. Note, however, that you are also responsible for notifying your Digital Wallet provider if your eligible Mobile Device or Digital Wallet is lost or stolen. If you fail to notify PSL, you may be liable for all or a portion of the losses associated with unauthorized use of your TallyPay Account.
c. Identity Verification: TallyPay may validate your identity and make inquiries about any information you provide to PSL by taking assistance from third parties. You may need to provide further information or documentation, including but not limited to National ID/Passport, or follow instructed procedures to confirm ownership of your email address, bank account, and so on for the process of verifying your information. These information may be requested through a third party if required.\ If you fail to provide additional related information or documentation as required by PSL for the use of the Services, you shall be rendered ineligible for the use of TallyPay.
iv. Third Party Services: Your use of the Service may also include the use of applications that are developed or owned by a third party, that we do not control or own. Your use of the Service may also include the use of applications that are developed or owned by a third party. Your use of such third party applications, and services is governed by that party’s own terms of service and/or privacy policies. We encourage you to read the terms and conditions and privacy policy of any third party applications, websites or services that you visit or use.
v. Ownership: When you create an account with TallyPay to use the Service, you agree to maintain the security of your password and accept all risks of unauthorized access to any data or other information you provide to the Service. You must be the sole owner and in control of the Account, and conduct transactions on behalf of yourself only. Letting any other individual have access to your account shall render your account ineligible and the account shall be subjected to further penal procedures as per the policy of PSL. If you discover or suspect any Service security breaches, please let us know as soon as possible. You agree that you are solely responsible and liable for (and that TallyPay has no responsibility to you or any third party for) any breach of your obligations under these terms and/or conditions and for the consequences (including any loss or damage which TallyPay may suffer) for any such breach.
I. Financial Transaction:
i. Permission to debit and credit bank account. If you access or use the TallyPay and its Services, it means you agree to be bound by all of the terms in this Agreement and providing your permission to PSL to Debit and/or Credit your bank account through virtual instruction from the APP/WEB as required for wallet refill, account verification, access to account information and so on.
ii. Transactions: If you let others operate your account then you will be solely responsible for any kind of transaction and or activity.
iii. Transaction Limits:We may, at our discretion, place limits on the amount of money you can send, receive or pay through the TallyPay Platform as well as the amount of money you can add or withdraw from your TallyPay account. Your transaction limit may be increased in tiers according to the extent your account is verified and the activity of your TallyPay account per Bangladesh Bank guidelines.
iv. Fees: Applicable fees will be charged from your account as and when applicable for your use of TallyPay financial services. You must have sufficient balance in your account for processing the transaction along with applicable fees and/or charges. Applicable fees may be revised and increased as and when required.
II. Receiving Payment:
i. No Extra Charges:You agree that you will not levy any extra charges on your product or service for accepting TallyPay as a payment method.
ii. Personal Payments for Sales: If you are selling goods or services, you may not demand the buyer to send you a Personal Payment as ‘Send Money’ for the purchased item.
IV. Transaction information: Your personal and/or commercial identification information shall be recorded for complying with anti-money laundering and counter-terrorism obligations under the applicable Laws including but not limited to the Money Laundering Prevention Act 2012 (Amendment on 2015) and Anti-Terrorism Act 2009 (Amendment on 2013), and any other applicable rules and regulations of Bangladesh. In the event where you send or receive a high amount through the TallyPay Services, or are suspected of being engaged in any suspicious transaction, TallyPay in collaboration with relevant authorities of the Government may investigate the background of your business by gathering information about you and your business, its directors, shareholders, partners, officials and employees, as applicable. TallyPay, at its sole discretion, reserves the right to periodically recover and review consumer information and/or a business and is authorized to close an account based on information obtained during these background checks and reviews.
V. Account Balances: We will maintain the balance you hold in your TallyPay account with the highest level of integrity. The balance will be kept in a pooled account along with other TallyPay members’ balance; this balance will not be used for corporate or any internal purposes.nYour balance in the pooled account shall remain indemnified from any irregular transaction carried out by any other TallyPay account holder.
VI. Account Closure:
v. i. Account Closing Steps: You may close your Account at any time by following the instructions in your TallyPay Account. You must withdraw your balance before closing your Account. Any bonus balance or offer associated with your account will no longer be available for you.
v. ii. Limitations on Closing Your Account: We may hold your funds to protect TallyPay, Affiliates or a third party against the risk of fees, fines, penalties and other liability if you close your Account while we are conducting an investigation. You will continue to be liable for all obligations related to your Account even after the Account is closed.
vi. Unauthorized Transaction or Errors:
vii. i Unauthorized Transaction or Errors: Transactions are rendered unauthorized when TallyPay Services are used to transfer money without your authorization from your account. If you give your login information to any other person and they conduct transactions from your account without your permission, then TallyPay will not refund the amount of any unauthorized transaction or error.
vii. ii Notify TallyPay immediately. You must notify us within 5 working days after, or within a reasonable time of your notice of, any unauthorized transaction appears in your activity feed or transaction history. You should access your account regularly and review account activity for ensuring that unauthorized transactions are not being carried out from your account.Contact TallyPay if you find that Your TallyPay Mobile Application Activated phone is stolen or lost; or\nYour TallyPay password or PIN has been revealed to anyone else; or\nYour account has been accessed by anyone unauthorized; or\nThere had been any unauthorized transaction or error in your account activity or transaction history; or\ Any other suspicious activity or transaction in your account.\nSend your notification with your name, valid phone number, email address, amount of the unauthorized transaction or error and explanation of why you identified the transaction as unauthorized. You can notify us by Writin to Progoti Systems Limited by sending email to support@tallypay.com with the subject line ‘Unauthorized Transaction or Issue’ or Calling +8809609090908, If you send us the notification by calling to the mobile number, we may ask for a written complaint, question or additional information required for processing.
vi. iii TallyPay errors. We will rectify any error in TallyPay transactions as soon as possible upon detection. TallyPay will add the fund to your account if fewer funds are transferred to your account than the actual amount. Similarly, the excess funds will be removed from your TallyPay account if an excess fund is transferred to your account.\ In all the circumstances defined above, you shall be informed before any rectification is carried out in any of your transactions.
vi.iv Other errors: TallyPay will not reimburse you for any unauthorized transaction or error if you send an incorrect amount of money to any person or make a transaction with any other individual other than the intended person, due to typing mistakes or any other reason. You will be solely liable for your error and will have to settle with that person separately without requesting any involvement of PSL.
vi. v. TallyPay actions against your notification. TallyPay will investigate the reported unauthorized transaction or error. Upon receiving your notification, we will conduct our investigation as soon as possible or if we detect any suspicious activity from your account. We will contact you with the decision based on our investigation and will temporarily suspend all activities from your account until the issue has been rectified.
vii. Acceptable Use Policy: You will not misuse the TallyPay Platform by conducting any of the prohibited activities, unlawful activities or transactions requiring approval before taking the permission of Progoti Systems Limited.
vii.i. Prohibited Activities:
1. General Prohibitions: You agree to avoid the following activities while using TallyPay Violate the terms of this Agreement, privacy policy or any other Agreement you have entered into with PSL) Violating any applicable law or regulation of Bangladesh) Infringing intellectual property rights of TallyPay or any other third party,\nd) Performing any potentially suspicious or fraudulent activity or transaction) Refusing to co-operate in an investigation or provide your identity or any other information requested by TallyPay to you) Provide false, inaccurate or misleading information.\ng) Using TallyPay Services in a manner that may result in disputes, complaints, fines, penalties or other liability to TallyPay, any third party or you.\nh) Disseminating or disclosing TallyPay user’s personal or private information for marketing purposes without the explicit consent of the user Using TallyPay Services to collect unsolicited or potentially fraudulent funds) Using the system in a way which imposes an unreasonable or disproportionately large load on TallyPay’s infrastructure/network) Facilitating any virus, worm or Trojan horses or any other malware that is damaging and interfering to our system or data) Undertaking any action that might hamper the Services that we receive from our payment processors, banks, internet provider or other suppliers) Monitoring or copying our website using proxy, robot or manual process without prior written permission of TallyPay. Explanation: copyright, trademark, patent or any other term used above are to be meant and construed in their usual, ordinary sense or definitions attached with them under relevant laws of Bangladesh.
2. Restricted trade and transactions: When you buy or sell any product through TallyPay make sure that you are not making any transaction involving: ammunition, firearms, combat or tactical knife, weapons or related accessories, or narcotics, drugs and tobacco products, or obscene items, or stolen or counterfeit goods, or sexually oriented material or services, or Item promoting violence, hate or racial intolerance, or multi-level marketing program, or off-shore banking, lottery or annuity, or debt settlement service, credit transaction or insurance activities, or offering or receiving payments for bribery or corruption, or check cashing or currency exchange business, or payment collection on behalf of a merchant, or any other contraband goods or illegal items.
viii. Generic Terms.
viii. i Indenification: You agree to unconditionally indemnify TallyPay, our affiliates, employees, directors, agents and suppliers from any demand, claim, fine or other liability incurred by a third party arising out of the breach of this Agreement. The aforementioned parties will not be liable for any lost profit or consequential damage arising out of unlawful use of TallyPay Services. If the loss/damage is caused by TallyPay error, the mentioned parties will only then be liable for the actual amount of direct damage.
viii. iii.Disclaimer; No Warranties: To the fullest extent permissible according to applicable law, TallyPay and its third-party partners disclaim all warranties or guarantees – whether statutory, express or implied – including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement of proprietary rights. No advice or information, whether oral or written, obtained by You from TallyPay or through the TallyPay Services or the TallyPay Platform will create any warranty or guarantee other than those expressly stated herein. For this Disclaimer, You expressly acknowledge that as used in this section, the term “TallyPay” includes TallyPay’s officers, directors, employees. You expressly agree that use of the TallyPay Services on the TallyPay Platform is at Your sole risk. It is Your responsibility to evaluate the accuracy, completeness and usefulness of all opinions, advice, services, merchandise and other information provided through the site or on the Internet generally. TallyPay does not warrant that the TallyPay Services will be uninterrupted or error-free or that defects in the site will be corrected. The TallyPay Services and the TallyPay Platform and any data, information, third party software, reference sites, services, or software made available in conjunction with or through the services and the site are provided on an “as is” and “as available,” “with all faults” basis and without warranties or representations of any kind either express or implied. TallyPay, and its partners do not warrant that the data, TallyPay software, functions, or any other information offered on or through the TallyPay Services/TallyPay Platform or any reference sites/platforms/apps/services will be uninterrupted, or free of errors, viruses or other harmful components and do not warrant that any of the foregoing will be corrected. TallyPay and its licensors, and partners do not warrant or make any representations regarding the use or the results of the use of the TallyPay Services/TallyPay Platform or any reference sites/platforms/apps/services in terms of correctness, accuracy, reliability, or otherwise. You understand and agree that You use, access, download, or otherwise obtain information, materials, or data through the TallyPay Services/TallyPay Platform or any reference sites/platforms/apps/services at Your discretion and risk and that You will be solely responsible for any damage to Your property (including Your computer system and mobile device or any other equipment) or loss of data that results from the download or use of such material or data. We do not authorize anyone to make any warranty on our behalf and You should not rely on any such statement. This paragraph shall survive the termination of this Agreement. In no event will TallyPay be liable for any incidental, consequential, or indirect damages (including, but not limited to, damages for loss of profits, business interruption, loss of programs or information, and the like) arising out of the use of or inability to use the TallyPay Platform. TallyPay reserves the right to substitute or amend the features, amenities and charges, and the information and elements of such features, facilities and charges, concerning the Services, Contents, Site and TallyPay Products and Services, at any time. All TallyPay Products and Services offered are subject to the standard Terms and Conditions for TallyPay Products and Services.
viii. iv. Availability and nature of service: We are a payment service operator. TallyPay is not responsible for the goods and services whose transactions are made using TallyPay Services. TallyPay does not provide any guarantee that the buyer or seller you are dealing with is authorized or will complete the transaction. Since TallyPay Services are dependent on many factors outside our control and we may need to suspend the online availability for upgrade and the maintenance of the system, we cannot provide any warranty about the amount of time needed to complete any transaction. TallyPay will make reasonable efforts to run smooth and prompt functioning of the system within our limitations.
viii. v. Intellectual Property: “TallyPay” and all other logos, custom graphics, trademarks and URL related to TallyPay services may not be copied and/or used without written consent of Progoti Systems Limited. Any technology created or derived from TallyPay services is the exclusive property of TallyPay and its licensors.
viii. vi. Securing your Password: You should maintain the security of your TallyPay account by controlling and making sure that all IDs, passwords, PINs or other codes that you use for accessing TallyPay services are secured and not revealed to any other person.
viii. vii. Communication with you over Phone: You agree to receive phone calls and messages from TallyPay Systems Limited including auto dialer and prerecorded messages regarding your use of TallyPay services or verification purposes. The phone number that you provide to TallyPay has to be active and stay in your possession as we may request information for verification purposes by contacting you over the phone. Your voice and conversation with TallyPay over the phone may be recorded for resolving complaints, detecting fraud and ensuring security.
viii. viii. Tax: TallyPay shall remain indemnified from any claim of tax, VAT or any other public charges applicable on any of your transactions.
viii. ix. Agreement Survival, Amendment and Termination. If any section/provision of the agreement is rendered invalid, it will be changed or removed while the remaining sections/provision will stay valid. TallyPay Systems Limited holds the right of making any amendment/correction of any terms of services from time to time in future. These modified amendments will be effective just after being posted on the website.\ TallyPay at its sole discretion, reserves the right to terminate this agreement or any of its service for any reason at any time by refunding all unrestricted funds in your TallyPay account.
viii. x. Assignment of Rights. You may not assign or transfer your rights and obligations that you have entered into by signing/agreeing with this agreement to anyone else without TallyPay’s written permission. TallyPay reserves the right to assign or transfer this agreement or any obligation or right under this agreement at any time.
viii. xii. Instructions given by you on your account: When you give any authenticated instructions (verbal or written) to be carried out on your account, TallyPay will carry out the instruction accordingly. TallyPay will not be liable for the consequences of the actions on those instructions as those were delivered by you.
viii. xiii. Authorization: When you add your bank account to TallyPay account for carrying out transaction between your TallyPay account and bank account, you are authorizing TallyPay to debit or credit fund to and from your TallyPay account to TallyPay’s official account according to your instructions and terms of this agreement. You also authorize TallyPay to take necessary steps and request additional information and/or documents from you or your bank for verifying the credibility of your bank account.
ix. Action for your liability to TallyPay: You are responsible for all claims, fees, fines or other liabilities incurred by TallyPay, third party or other user caused due to your breach of this agreement. You agree to reimburse the affected party for any liability caused due to your action.
x. Reimbursement of the liabilities: The amount that you owe to TallyPay against any liability will be immediately removed from your TallyPay account balance. If you do not have enough balance, the existing balance of your account will be removed and you’ll need to reimburse the remaining amount to TallyPay by adding money to your TallyPay account within three working days.
x.i. Actions against Prohibited Activities: If we have reason to believe that you have engaged in any of the prohibited activity mentioned below, with prior notice, we may take any or all of the following actions Suspend, Close or Limit your access to your TallyPay account or specific TallyPay Service Refuse to provide TallyPay Services to you at the time of detection of the prohibited activity or at any time during your future attempts, and/or;\nc)Place your funds or specific transactions on hold for suspicion of an illegal transaction, fraudulent activity, and so on.
x.ii. Holds or Reserves: TallyPay may place a hold or reserve on your account balance for security of our users’ account and TallyPay System. We will provide notice for our action and you will have an opportunity for requesting restoration of your access if we deem it appropriate.
10.4 Transaction Profile Consistency. TallyPay will monitor activities and transactions in your profile and set privilege classes and status for your account. The privilege classes and account status will have preset Transaction Profile for each of them. Your daily and periodic transaction should be consistent with the Transaction Profile for your account class and status.
X. Dispute Settlement Guide.
x. i. Inform TallyPay First. You will inform TallyPay immediately in case any dispute arises between you and TallyPay. We affirm that we will address your concern and provide you with a neutral and cost-effective means of settling the dispute quickly. You can inform us by writing to PSL.
x. ii. Arbitration. In the event of controversy or claim, any dispute arising out of or in connection with this Agreement will be resolved through joint discussion. If amicable settlement fails, this Agreement and any non-contractual rights or obligations arising out of or in connection with it shall be governed by and construed per the Arbitration Act 2001 and Rules of Arbitration of the Bangladesh International Arbitration Centre (BIAC) by a panel of three (3) Arbitrators. Each Party shall appoint one (1) Arbitrator and the two (2) Arbitrators so appointed will appoint the third or the presiding Arbitrator. The seat, or legal place, of arbitration, shall be Dhaka. The language to be used in the arbitral proceedings shall be English. Judgment on any award may be entered in any court having jurisdiction thereover. The arbitral award shall be final and binding on the parties to the arbitration. The parties to the arbitration agree to be bound by and to act in accordance with the arbitration award.
x. iii. Law and Jurisdiction of Dispute. You agree to obey the instructions of the regulators which may be changed from time to time on Money Laundering Prevention Act 2012, Counter-Terrorism Act 2009, Counter-Terrorism Act (amended) 2012, Counter-Terrorism Act (amended) 2013 and other such acts/regulations which to be issued from time to time in future.
x. iv. Litigation filed improperly. All disputes and claims you have against TallyPay should be resolved in accordance with section x.ii of this Agreement. Any cases filed by violating this Agreement will be considered improper. TallyPay reserves the right to recover fees and costs associated with the case and lawyer’s charge of minimum 10,000 Taka for inappropriately filed claims. You will be liable for the fees and charge if you fail to withdraw the claim promptly after receiving written notifications from TallyPay.
x. v. Insolvency. TallyPay will be entitled to recover all associated costs according to this agreement even in case you are declared insolvent under the provision of any bankruptcy or insolvency law.
x. vi. Communicating with you. TallyPay will contact you through your primary mobile number, which you should keep up-to-date at all times. It will be considered that you have received the electronic communication after 24 hours of posting it on our website or to your phone number.
Personal Data Your Privacy is of utmost importance to us and the protection of your Personal Data is a key commitment for us.\nWe are governed by the provisions of applicable law in Bangladesh to maintain the privacy of your Personal Data.
I. Personal Data Personal Data we may collect from you are as under.Personal details (e.g. name, contact details including, residential address, date of birth, documents such as National ID, driver’s licence, Tax Identification Number) provided by you to us to avail TallyPay Services. Your account details including transaction history, balances, payment details etc. Images of documents/ photos required to avail TallyPay Services.\n4. Voice recordings of our conversations with our customer care agent with you to address your queries/grievances;\n5. Specimen signature(s) for processing of your instructions received by us through our various payment and delivery channels;\n6. Opinions provided by you to us by way of feedback or responses to surveys;\n7. Information obtained from your mobile device by way of using our app like device location, communication information including contacts and call logs, device information (including storage, model, mobile network), transactional and promotional SMS/app notifications.
II. Sharing of your Personal Data: Any Personal Data that we have access to shall never be shared without your consent. In various processes/submission of applications/availability of service offerings, we even seek your explicit consent to use/share your Personal Data. In our business and operational processes, we only share the data on a partial and “need-to-know” basis to designated personnel or partners or service providers. We will share your data with competent/ legal/statutory/regulatory agencies/authorities or partners/service providers acting on our behalf (as the case may be) in the following cases only for enabling the provision of the Services availed by you, strictly on a “need to know” basis and subject to applicable laws.\n2. It is directed or required by legal/regulatory/statutory/governmental authorities under applicable laws/regulations though a legally obligated request.\n3. It is required by financial institutions to verify, mitigate or prevent fraud or to manage risk or recover funds in accordance with applicable laws/regulations.
III. Usage of Your Personal Data: We use your Personal Data in our business activities for providing our or our partners’ products/services and to perform, among other actions, the following:\n1. To facilitate the transactions or report on these transactions. To undertake research and analytics for offering or improving our products/services and their security and Service quality. To check and process your requirements submitted to us for products/services and/or instructions or requests received from you in respect of these products/services;\n4. To share with you, updates on changes to the products/services and their terms and conditions;\n5. To take up or investigate any complaints/claims/disputes;\n6. To respond to your queries or feedback submitted by you;\n7. To verify your identity for us to provide products/services to you;\n8. To carry credit checks, screenings or due diligence checks as lawfully required by us;\n9. To monitor and review Services from time to time. To undertake financial/regulatory/management reporting, and create and maintain various risk management models. For conducting audits and for record-keeping purposes;\n12. For selective offers and promotions. External processing: We may provide your personal information to our affiliates or other trusted businesses or persons or service providers engaged by us, or institutions that we partner with to assist us with providing you with products/services to better serve your needs and interests, based on your instructions and in compliance with our Privacy Policy and any other appropriate confidentiality and security measures.
